GRID Website Terms of Use
1. Agreement
1.1 Parties. These Website Terms of Use are a binding agreement between you and GRID Robotics LLC, a California limited liability company ("GRID," "we" or "us"). They govern your use of grid.auction and every GRID page, account and service (the "Site").
1.2 Acceptance. You accept these Website Terms of Use when you use the Site. If you do not agree, do not use the Site.
1.3 Other GRID terms. Bidding and buying are also governed by the GRID Terms of Sale. Selling is also governed by the GRID Seller Agreement. If one of those documents conflicts with these Website Terms of Use, that document controls for its subject.
1.4 Who may use the Site. Anyone may browse the public pages of the Site. You must be at least 18 years old to create an account.
1.5 Changes. GRID may update these Website Terms of Use. GRID posts every update on this page with a new effective date. If an update materially changes your rights, GRID emails account holders at least 14 days before it takes effect. Your use of the Site after the effective date means you accept the update.
2. Accounts
2.1 One account. One GRID account lets you bid, sell or both. Each person or company may hold one account. You may not transfer, sell or share your account.
2.2 Accurate information. You must give accurate and complete information when you register and keep it current.
2.3 Verification. GRID may verify your identity, business, address and payment method at any time. GRID may ask for a government-issued photo ID, business registration documents or tax documents. GRID may limit your account until verification is complete.
2.4 Business accounts. If you open an account for a company, you confirm that you have authority to bind that company. You and the company are each responsible for all activity on the account.
2.5 Security. You are responsible for all activity on your account. You must keep your password secure and use the sign-in protections GRID offers. You must notify GRID at g@gridauction.co immediately if you believe someone has used your account without permission. You remain responsible for activity that occurs before GRID receives your notice.
2.6 Suspension and closure. GRID may refuse, limit, suspend or close any account for any lawful reason. Reasons include suspected fraud, non-payment, false information and any breach of a GRID agreement. You may close your account at any time by emailing g@gridauction.co. Closing an account does not cancel any Bid already placed, any purchase, any consignment or any amount owed.
3. Acceptable Use
3.1 Prohibited conduct. You must not do any of the following on or through the Site:
- Give false information or pretend to be another person or company.
- Use the Site for any unlawful purpose, including fraud, money laundering or sanctions evasion.
- Scrape, crawl, copy or collect data from the Site with bots, scripts or other automated tools.
- Interfere with the Site, its security or its servers, including by uploading malware or overloading the Site.
- Try to access any account, system or data you are not authorized to access.
- Copy, modify, reverse engineer or resell any part of the Site.
- Harass, threaten or abuse GRID staff or other users.
- Post content that is false, infringing, obscene or unlawful.
Bidding conduct and buying outside GRID are governed by Section 3 of the Terms of Sale.
3.2 Enforcement. GRID may remove content, void Bids, suspend accounts and report conduct to the authorities when GRID reasonably believes this Section 3 has been broken.
4. Ownership and Communications
4.1 GRID's property. GRID owns the Site and everything on it that GRID creates. That includes the GRID name and logo, the design of the Site, its software, its text, and all Auction Data as defined in the Terms of Sale. GRID grants you a limited, personal and revocable right to use the Site for its intended purpose. GRID keeps all other rights.
4.2 Content you provide. You keep ownership of content you upload, such as photos, documents and messages. You grant GRID a worldwide, royalty-free license to use, copy, display and edit that content to run the Site, list and sell robots, and market GRID. You confirm that you have the rights to grant this license.
4.3 Feedback. If you send GRID ideas or feedback, GRID may use them without any obligation to you.
4.4 Third-party services. The Site uses third-party services, such as Stripe for payments and BidJS for bidding. The Site may link to third-party websites. GRID is not responsible for third-party websites. Your use of a third-party service may be subject to that provider's terms.
4.5 Electronic communications and signatures. You agree to receive notices, invoices, agreements and other communications from GRID electronically. Electronic communications satisfy any requirement that a communication be in writing. You agree that clicking an acceptance button or signing electronically has the same effect as a handwritten signature.
5. Liability, Disputes and General Terms
5.1 DISCLAIMER. THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." GRID DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR FREE OF ERRORS. Information on the Site is for general purposes and is not legal, tax or investment advice.
5.2 LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT ALLOWED BY LAW, GRID IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE. GRID'S TOTAL LIABILITY UNDER THESE WEBSITE TERMS OF USE IS LIMITED TO $1,000. Liability for bids and purchases is governed by the Terms of Sale. Liability for consignments is governed by the Seller Agreement.
5.3 Indemnity. You will defend, indemnify and hold harmless GRID and its owners, employees and contractors from any third-party claim, loss or cost, including reasonable attorneys' fees, that arises from your breach of these Website Terms of Use or your misuse of the Site.
5.4 Disputes. Section 8.5 through Section 8.10 of the GRID Terms of Sale apply to any dispute under these Website Terms of Use as if they were written here. Those sections cover informal resolution, individual arbitration, the class action waiver, the arbitration opt-out, California governing law and the one-year time limit for claims.
5.5 General terms. These Website Terms of Use and the documents named in Section 1.3 are the entire agreement between you and GRID about the Site. You may not assign them without GRID's written consent. If any part is unenforceable, the rest remains in effect. GRID's failure to enforce a right is not a waiver of that right.
